ACIDKING End User License Agreement

Please read this agreement before you install or use ACIDKING. By installing, activating or using the software you agree to these terms. If you do not agree, do not install or use the software.

1. Who we are

ACIDKING is made by A*S*Y*S & PARAFRAME and published by PARAFRAME Audio.

2. What this agreement covers

This agreement covers the ACIDKING software in all plug-in formats (AU, VST3, CLAP), its factory presets and patterns, its documentation and any updates we provide (together, the "Software").

You buy the Software from our reseller Moonbase AS (Norway), or Moonbase LLC for some purchases in the United States, which acts as merchant of record. The purchase itself, including payment, invoicing, refunds and your statutory right of withdrawal, is governed by the seller's terms of sale. This agreement governs your right to use the Software.

Nothing in this agreement limits rights you have under mandatory consumer protection law.

3. Your license

Subject to this agreement, we grant you a non-exclusive, worldwide, perpetual license to install and use the Software for your own music production, including commercial work.

The license is for one person. You may install and activate the Software on as many of your own computers as your license allows. The number of activations is shown when you buy and in your Moonbase account. You may deactivate a computer to move the activation to another one.

The Software is licensed, not sold. We keep all rights not expressly granted to you.

4. Activation

The Software needs to be activated, either online or with an offline license file. Until it is activated it loads in your host but produces no sound and no MIDI output. After a successful online check it keeps working without an internet connection for up to seven days; an offline activation does not need an internet connection.

During activation and license checks the Software sends license and device data to Moonbase as described in section 13 and in our privacy policy.

5. Your music and your sounds

The music and sounds you create with the Software belong to you. You may use them, including sounds made with the factory presets and patterns, in your own productions and releases, commercially and royalty-free, without crediting us.

This includes sample libraries. You may record audio from the Software, including from the factory presets, and sell or give away those recordings as samples, loops, sound packs or multisampled instruments for samplers.

You may not sell, give away or otherwise distribute the factory presets or patterns themselves, meaning the preset files or pattern data (for example as ACIDKING presets or as MIDI files of the factory patterns), alone or as part of a collection. You may not use the Software or its factory content to create a plug-in or other software, or a machine-learning model, that imitates the Software's sound engine or competes with it as a software synthesizer.

6. What you may not do

Except where mandatory law expressly allows it (for example sections 69d and 69e of the German Copyright Act), you may not:

copy the Software, except for installation and a reasonable number of backups
rent, lease, lend, sublicense or share the Software or your activations with others
remove, bypass, disable or interfere with the activation or license check
reverse engineer, decompile, disassemble or modify the Software
remove or change copyright, trademark or license notices
distribute the Software or make it available to others, for example on file-sharing services

7. Transfer

You may transfer your license to another person once you no longer use the Software. Contact support@paraframeaudio.com so that the license can be moved to the new owner's account. When the transfer is complete, deactivate and delete all your copies. The new owner must accept this agreement.

8. Third-party components

The Software includes open-source components. They are licensed under their own terms, which are listed in THIRD_PARTY_NOTICES.md and the licenses folder supplied with the Software. Nothing in this agreement restricts your rights under those licenses.

9. Updates and support

We may provide updates, for example bug fixes, compatibility improvements and security fixes. Updates are part of the Software and covered by this agreement. Your statutory rights regarding updates remain unaffected. Support is available at support@paraframeaudio.com.

10. Warranty

If you are a consumer, the statutory warranty rights apply. Claims arising from the purchase are generally made against the seller named in section 2; you can also contact us at any time.

If you are not a consumer, the Software is provided as is to the extent permitted by law. We do not guarantee that it will run without interruption or errors on every computer, operating system or host. Please check the system requirements and test your setup.

11. Liability

We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, under the German Product Liability Act and under any guarantee we have given.

In cases of slight negligence we are only liable for the breach of an essential contractual obligation, meaning an obligation whose fulfilment makes the proper performance of this agreement possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the typical damage that was foreseeable when the agreement was made. Otherwise our liability for slight negligence is excluded.

For loss of data we are liable only for the effort that would have been needed to restore the data from regular, adequate backups.

These limitations also apply to our employees, representatives and agents.

12. Termination

This license ends automatically if you materially breach this agreement, in particular sections 5 and 6. When the license ends, you must stop using the Software, deactivate it and delete all copies. Sections 5 (regarding content you have already created), 11, 12 and 15 remain in effect.

13. Privacy

We process personal data in accordance with our privacy policy at https://paraframeaudio.com/datenschutz. It explains which data the Software sends during activation and license checks and how the reseller handles your purchase data.

14. Trademarks

ACIDKING, PARAFRAME, PARAFRAME Audio and A*S*Y*S, and their logos, are trademarks or names of their respective owners. This agreement does not grant you any rights to them. VST is a registered trademark of Steinberg Media Technologies GmbH. Audio Units and Logic are trademarks of Apple Inc. Other names are the property of their respective owners.

15. General

This agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country in which you have your habitual residence.

If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Frankfurt am Main, Germany.

If any provision of this agreement is invalid, the remaining provisions remain valid.
